These terms are the agreement between Dialekt Agency and the business using the Dialekt Invoice Engine (the app). By connecting a mailbox or a QuickBooks company to the app, you agree to them on behalf of your business.
What the app does
The app reads supplier invoices from a mailbox you connect, extracts their details, and lists them for you to check. When you approve an invoice, it records it as a bill in your QuickBooks Online company and attaches the file. It also shows summaries of your spending from the invoices it has captured.
Your licence
We give your business a non-exclusive, non-transferable right to use the app for its own bookkeeping, for as long as we provide it to you. You may not resell it, copy it, or try to get at its source code or other customers' data.
What you are responsible for
- Checking each invoice before you approve it. The app reads documents automatically and can get things wrong, which is why nothing is posted without your approval
- The accuracy of your accounts and tax returns. The app is a bookkeeping aid, not accounting or tax advice
- Having the right to connect the mailbox and QuickBooks company you connect
- Keeping your sign-in details private, and telling us straight away if you think someone else has used them
QuickBooks
The app connects to QuickBooks Online through Intuit's API. Dialekt Agency is not part of, affiliated with or endorsed by Intuit. QuickBooks is a trademark of Intuit Inc. Your use of QuickBooks itself is governed by Intuit's terms.
You can disconnect the app at any time, from the app or from your QuickBooks settings. Disconnecting stops anything further being sent and deletes the stored connection.
Your data
Your data stays yours. We handle it as described in the app's privacy notice, and only to provide the app to you. If you ask, we will export it for you or delete it.
Fees
Any fees for the app are agreed with you separately in writing. If none have been agreed, there are none.
Availability and changes
We work to keep the app running and secure, but we cannot promise it will always be available or free of errors. We may improve or change it, and will tell you before making any change that affects how your data is used.
Liability
The app is provided as it is. We are not liable for indirect or consequential loss, or for loss caused by an invoice being approved without being checked. Our total liability to you in any 12 month period is limited to the fees you paid for the app in that period, or £100 if you paid none.
Nothing in these terms limits liability that cannot legally be limited, such as for fraud, or for death or personal injury caused by negligence.
Ending
Either of us can stop at any time by telling the other. When you stop, disconnect QuickBooks and your mailbox, and we will delete your data within 30 days of your request, apart from anything the law requires us to keep.
Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
